End User License Agreement (EULA) for Downloadable Digital Assets

This EULA is a binding legal contract between you and MH Alliance LLC, along with its associated entities (collectively referred to as “MHA”). This EULA grants you access to MHA’s relevant template documents, spreadsheets, presentations, and research reports (collectively known as “Downloadable Digital Assets”). You must agree to the terms of this EULA before using the Downloadable Digital Assets. If you are entering into this EULA on behalf of a company or other organization, you affirm that you have the authority to do so.

 

Terms of Use

This EULA supplements and is incorporated into the Terms of Use. For clarity, unless otherwise stated herein, all terms and conditions in the MHA Terms of Use and MHA Privacy Policy will govern your use of the Downloadable Digital Assets, as they are part of the Website. Terms capitalized but not defined in this EULA are defined in the Terms of Use.

 

Agreement to Terms

By downloading, copying, or using the Downloadable Digital Assets in any way, you indicate that you have read, understood, and agree to be bound by the terms of this EULA and the Terms of Use. If you do not agree to the terms of this EULA, you should not access or use the Downloadable Digital Assets.

 

License Grant

The license grant to the Downloadable Digital Assets is outlined in the Terms of Use. In addition to the restrictions in the Terms of Use, you may not directly or indirectly:

• Reverse engineer, decompile, disassemble, or attempt to discover the object code, source code, or underlying ideas or algorithms of the Downloadable Digital Assets;

 

• Copy, translate, modify, create derivative works of, or otherwise use the Downloadable Digital Assets or any part thereof;

 

• Distribute, sell, assign, pledge, sublicense, lease, loan, use for service bureau purposes, rent, or otherwise transfer the Downloadable Digital Assets or any part thereof in any form;

 

• Remove or alter any of the trademarks, trade names, logos, patent or copyright notices, or other proprietary notices or markings from the Downloadable Digital Assets, or add any other notices or markings to the Downloadable Digital Assets;

 

• Use the Downloadable Digital Assets for any purpose other than its intended purpose;

 

 

• Interfere with or disrupt the integrity or performance of the Downloadable Digital Assets;

 

• Introduce any open source software into the Downloadable Digital Assets;

 

• Use the Downloadable Digital Assets to tamper with, spoof, or attempt to obtain unauthorized access to MHA’s servers or databases; or

 

• Allow any other party, directly or indirectly, to do any of the above.

 

Third-Party Terms and Conditions

Your use of the Downloadable Digital Assets may be subject to additional third-party terms and conditions, and you agree to comply with all such terms and conditions as a condition of using the Downloadable Digital Assets. If you breach any of these restrictions, your license to the Downloadable Digital Assets will automatically terminate, and you must immediately destroy any downloaded or printed versions of the Downloadable Digital Assets.

 

Compliance with Laws

You agree to use the Downloadable Digital Assets in compliance with all applicable laws. This EULA will be governed and construed in accordance with the laws governing the Terms of Use.

 

Modification of EULA

MHA reserves the right to modify this EULA and will maintain the most current version of this EULA on this page.
